End User License Agreement

This End User License Agreement ("EULA") is between you and Nitrotech Inc. ("Nitrotech", "we") and governs your use of the Chat33 software, web application, browser and embedded interfaces, APIs, integrations and related services (together, the "Software"). By creating an account, purchasing a membership (including through Whop) or otherwise using the Software you agree to this EULA and to the Chat33 Terms of Service and Privacy Policy, which are incorporated by reference. If this EULA and the Terms of Service conflict, the Terms of Service prevail.

1. License

Subject to this EULA and payment of the applicable fees, Nitrotech grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your own business or personal purposes during the term of your plan. The Software is licensed, not sold. Plan limits (channels, contacts, seats, posts) apply as described on the pricing page for the plan you bought.

2. Restrictions

You may not: (a) copy, modify, translate or create derivative works of the Software; (b) reverse engineer, decompile or attempt to extract source code, except where the law expressly allows; (c) sell, rent, sublicense, share or resell access, or use the Software to provide a competing service; (d) circumvent plan limits, rate limits, security or access controls; (e) use the Software to send spam, harassment, scams or unlawful content, or in a way that violates the rules of any connected platform; (f) scrape or collect data from the Software other than through the documented API; (g) remove proprietary notices.

3. Ownership

Nitrotech and its licensors own the Software, including its code, design, templates, documentation and all improvements. No rights are granted except those expressly stated in this EULA. Feedback you give us may be used without obligation to you.

4. Your content and connected accounts

You own the messages, posts, media, flows and other content you create or upload ("Your Content"). You grant Nitrotech a non-exclusive, worldwide, royalty-free license to host, process and transmit Your Content solely to operate the Software for you. You are responsible for Your Content and for having the rights to publish it. When you connect a social media account (Instagram, Facebook, TikTok, YouTube, X, LinkedIn or others) you authorise the Software to act on that account on your behalf within the permissions you grant, and you remain bound by that platform's terms and policies. Nitrotech is not a party to your relationship with those platforms and is not responsible for their availability, policy changes, rate limits or enforcement actions.

5. Automation and messaging

The Software can send messages, replies and posts automatically according to rules you configure. You are the sender of those communications and are responsible for their content, timing and compliance with applicable law (including anti-spam and consumer protection laws) and platform rules. You must honour opt-out requests from your contacts.

6. API, integrations and third-party services

Use of the Chat33 API, n8n node, MCP server, Zapier and similar integrations is subject to this EULA and to the API documentation. API keys are confidential; you are responsible for activity under your keys. The Software relies on third-party services (hosting, payments, email, AI models, social platforms); Nitrotech may change or replace them.

7. Updates

Nitrotech may update, add, change or remove features of the Software at any time. Updates are covered by this EULA. We will give reasonable notice of changes that materially reduce the functionality of a paid plan.

8. Fees and billing

Fees, renewals, credit packs, overage and refunds are governed by the Terms of Service and the Refund and Return Policy. Memberships bought on Whop are billed and managed by Whop; cancelling there ends renewal, and the workspace moves to the free plan at the end of the paid period.

9. Term and termination

This EULA applies for as long as you have an account. You may stop using the Software and delete your account at any time from Settings. Nitrotech may suspend or terminate your access if you breach this EULA or the Terms of Service, if required by law, or if a connected platform requires it. On termination your license ends; data handling after termination is described in the Privacy Policy and Terms of Service.

10. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, NITROTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONNECTED PLATFORM WILL REMAIN AVAILABLE OR ACCEPT AUTOMATED ACTIVITY.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NITROTECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, FOLLOWERS, REACH OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SOFTWARE. NITROTECH'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM.

12. Indemnity

You will defend and indemnify Nitrotech against claims arising from Your Content, your use of connected accounts, or your breach of this EULA, the Terms of Service or platform rules.

13. Governing law

This EULA is governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. Disputes are resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. General

This EULA, the Terms of Service, the Privacy Policy and the Refund and Return Policy are the entire agreement between you and Nitrotech about the Software. If any provision is unenforceable, the rest remains in effect. You may not assign this EULA; Nitrotech may assign it in connection with a merger, acquisition or sale of assets. We may update this EULA; continued use after the effective date of an update is acceptance.
